1Acceptance of Terms

By accessing or using the services provided by KOLMOS Data Technologies, Inc. ("Kolmos," "we," "us," or "our"), including the website at kolmos.dev, the Kolmos cloud database platform, and any related APIs or tools (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms").

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for safeguarding your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• You may not share your account credentials with third parties.
• You may not create multiple accounts for the same organization to circumvent usage limits.

3Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malicious software, viruses, or harmful code.
• Attempt to gain unauthorized access to any part of the Service or related systems.
• Interfere with or disrupt the Service, servers, or networks.
• Use the Service for cryptographic mining or other computationally intensive non-database workloads.
• Store or transmit illegal, obscene, defamatory, or threatening content.
• Perform load testing or penetration testing without prior written authorization.
• Resell or redistribute the Service without a separate written agreement.

4Payment & Billing

• Paid plans are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as expressly stated in these Terms.
• We reserve the right to change pricing with 30 days' notice.
• Overdue payments may result in suspension or termination of your account.
• You are responsible for all applicable taxes, excluding taxes on our net income.

5Intellectual Property

The Service, including its software, architecture, documentation, logos, and trademarks, is owned by Kolmos and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your Content: You retain all ownership rights to data, schemas, and queries you store on or submit to the Service. You grant Kolmos a limited license to process your content solely to provide the Service.

6Data & Privacy

Our collection and use of your personal information is governed by our Privacy Policy. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.

7Service Level & Availability

• We strive to maintain 99.9% uptime for paid plans.
• Scheduled maintenance windows will be communicated at least 48 hours in advance.
• We are not liable for downtime caused by force majeure events, third-party services, or your own infrastructure.
• Service credits may be available for extended outages on paid plans as described in your subscription agreement.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLMOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) one hundred U.S. dollars ($100).

9Indemnification

You agree to indemnify and hold harmless Kolmos and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10Termination

• You may terminate your account at any time by contacting us or through the account settings.
• We may suspend or terminate your access for violation of these Terms with or without notice.
• Upon termination, your right to use the Service ceases immediately.
• We will provide a 30-day data export period following termination for paid accounts.
• Provisions that by their nature should survive termination will survive (including IP, liability, indemnification).

11Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in English, in the State of Delaware, United States.

12Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action shall be brought in the state or federal courts located in Wilmington, Delaware.
